Affiliate Terms and Conditions - EAMA Group
Welcome to EAMA Group (hereinafter referred to as "EAMA Group," a trading name of European Asset Management and Auction Group LTD). These Vendor and Affiliate Terms and Conditions (hereinafter referred to as "Terms") constitute a legally binding agreement between you, being either a vendor or affiliate, and EAMA Group concerning the sale of assets through our online auction events and participation in our affiliate program. Please carefully review these Terms before proceeding, as they govern your participation in our platform.Affiliate Terms and Conditions:
These terms and conditions govern participation in the EAMA Group Affiliate Program ("Affiliate Program"). By participating in the Affiliate Program, you agree to the following terms:
1. Affiliate Participation
Affiliates must adhere to strict brand guidelines and avoid using misleading or deceptive marketing tactics that could harm the reputation of EAMA Group.
Affiliates will promote EAMA Group’s services and refer potential sellers to our platform.
2. Commission Structure
Affiliates will receive 50% of the commission that EAMA Group charges sellers referred by the affiliate. For example, if EAMA Group charges a seller a 20% sales fee on the hammer value, the affiliate will receive 10% of the hammer value, excluding VAT.
If the seller uses EAMA Group's warehouse services, the affiliate will receive 25% of the commission that EAMA Group charges.
If a seller joins without incurring commission charges, the affiliate will still receive 1% commission on any subsequent sales made by the seller.
3. Commission Adjustment
EAMA Group reserves the right to adjust vendor commissions if products are not selling, and this may affect affiliate commissions accordingly.
4. Commission Duration
Affiliates will be paid for all sales made by sellers they referred for 12 months from the seller’s first sale unless otherwise agreed in writing.
5. Referral Conditions
Affiliates will only earn commissions for sellers they directly refer. If a seller referred by the affiliate introduces additional sellers, the original affiliate will not receive any commissions from those new referrals (single-layer commission structure).
6. Refund and Commission Clawback
If EAMA Group must refund a customer, the affiliate will be required to return any commission earned on that sale within 30 days of notification.
EAMA Group reserves the right to claw back commissions in cases of fraudulent activity or violations of these terms.
7. Modifications and Termination
EAMA Group reserves the right to update these terms at any time. Continued participation after updates signifies acceptance of the new terms.
EAMA Group may terminate an affiliate’s participation for breaches of these terms at any time.
8. Payments
Affiliates must submit payment invoices to admin@eama.group. Payments will be processed within 7 days of receiving the invoice.
Affiliates are responsible for complying with any tax obligations in their jurisdiction.
9. Indemnification
Affiliates agree to indemnify and hold harmless EAMA Group from any claims, damages, or liabilities arising from their marketing activities or breach of the agreement.
10. Quality Control
EAMA Group reserves the right to review and approve all marketing materials used by affiliates to ensure alignment with brand standards.
11. Confidentiality
Affiliates must maintain the confidentiality of any proprietary information shared during their participation in the program.
12. Dispute Resolution (Arbitration)
All claims against EAMA Group shall be referred to a single arbitrator, a solicitor admitted in England and Wales, as per the Arbitration Act 1996.
13. Governing Law and Jurisdiction
These terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of its courts.
14. Entire Agreement
These terms constitute the entire agreement between EAMA Group and the affiliate, superseding all prior agreements or understandings.
